Terms & Conditions

These terms govern access to and use of the JustPerk loyalty platform by merchants and by customers who join a merchant's loyalty program. By creating an account or using the platform, you agree to these terms.

1. About JustPerk and these terms

The JustPerk platform is provided by:

JustPerk is a software platform. We are not the merchant selling the underlying goods or services. Merchants operate their own businesses, set their own loyalty rules and are responsible for honouring the rewards they create and for complying with the consumer laws that apply to them.

JustPerk does not process the merchant's underlying Square point-of-sale sale, and does not collect payment from the merchant's customers, unless separately stated in writing.

2. Merchant accounts and eligibility

To open a merchant account you must be at least 18 years old and authorised to act for the business you register. You must provide accurate information, keep it current, keep sign-in credentials secure, and are responsible for activity under your account, including activity by your staff.

We may refuse, suspend or close an account where these terms are not met.

3. Trial, plans and fees

  • New merchants may access a 14-day trial. No credit card is required to begin the trial.
  • At the end of the trial, continued access requires a paid subscription plan.
  • Subscription fees are charged monthly in advance in Australian dollars, unless we agree otherwise in writing.
  • Fees are for access to the platform and are not contingent on the volume of stamps or rewards issued.
  • We may change pricing in future. We will give reasonable notice of a change to your plan price, and the change will take effect from your next billing period. If you do not accept the new price, you may cancel before it takes effect.
  • Except where required by law, fees already paid are not refundable for a partial billing period.

4. Cancellation

A merchant may cancel at any time. Cancellation takes effect at the end of the current billing period, and access continues until then. On cancellation, loyalty features may stop operating, including automatic stamping through connected point-of-sale integrations. Merchants should tell their customers if a program is ending and should honour rewards already earned.

5. Merchant responsibilities

  • Configuring the loyalty program, including how many purchases are required, which items are eligible, and any expiry rules.
  • The accuracy and lawfulness of the program's terms as presented to customers.
  • Honouring rewards that customers legitimately earn under the program the merchant published.
  • Complying with the Australian Consumer Law, privacy laws, marketing and spam laws, gift card and loyalty rules, and any other laws applicable to the merchant's business.
  • Any communications the merchant sends to its own customers.
  • Ensuring staff use scanning and redemption features appropriately.

6. Point-of-sale integrations, including Square

Merchants may connect a point-of-sale system such as Square. By connecting, the merchant authorises us to access the information needed to run loyalty features, such as catalogue items, locations and payment or order metadata used to match eligible purchases.

Third-party services are provided by their own operators under their own terms. We do not control their availability, accuracy, timing or changes to their systems. Interruptions, delays or changes at a third-party provider may affect matching, stamping or synchronisation, and to the extent permitted by law we are not liable for them.

7. Customer loyalty memberships

Customers may join a merchant's program using the merchant's sign-up link or QR code. A membership is a record with the merchant, held on the JustPerk platform, and does not create a contract between the customer and JustPerk in respect of the underlying goods or services.

Memberships and rewards have no cash value, cannot be exchanged for cash, and may not be sold or transferred unless the merchant permits it.

8. Reward eligibility

Stamps and rewards are issued according to the rules the merchant configures. A purchase is stamped only where it is recognised as eligible and can be matched to a membership. Technical issues, unmatched transactions, offline terminals or third-party outages may prevent a stamp being awarded automatically.

Where a stamp is missed, the merchant may adjust the membership. Disputes about whether a reward is due are between the customer and the merchant, and should be raised with the merchant first.

9. Fraud, misuse and prohibited conduct

You must not:

  • Create memberships, stamps, rewards or redemptions that do not reflect genuine purchases.
  • Share, sell, copy or attempt to guess membership QR tokens belonging to another person.
  • Attempt to access another business's data or any part of the platform you are not authorised to use.
  • Probe, scan, overload or interfere with the platform's security, availability or infrastructure.
  • Reverse engineer, scrape, resell or white-label the platform without our written permission.
  • Use the platform to send unlawful, misleading, offensive or unsolicited communications.
  • Use the platform in breach of any applicable law.

We may cancel fraudulent stamps or rewards, restrict features, or suspend accounts where we reasonably suspect misuse.

10. Intellectual property

We own the JustPerk platform, software, branding and documentation, and all related intellectual property. Subject to these terms and payment of applicable fees, we grant merchants a non-exclusive, non-transferable right to use the platform for their own business during their subscription.

Merchants keep ownership of their own business content, logos and customer data, and grant us the licence needed to host, process and display that content in order to provide the service.

11. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these terms. Merchants are separately responsible for their own privacy obligations to their customers.

12. Service availability

We aim to keep the platform available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, apply updates, or change or withdraw features. Where reasonably practicable we will give notice of planned downtime or material changes.

13. Suspension and termination

We may suspend or terminate access where fees are unpaid, where these terms are breached, where required by law, or where continued access poses a security or legal risk. Where reasonable, we will give notice and an opportunity to fix the issue. On termination, the merchant's right to use the platform ends, and we may delete data in line with our retention practices.

14. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy that you have under the Australian Consumer Law or other law that cannot lawfully be excluded, restricted or modified. If a consumer guarantee applies and cannot be excluded, our liability is limited, to the extent the law allows, to resupplying the service or paying the cost of having it resupplied.

15. Disclaimers and limitation of liability

Subject to the section above, the platform is provided on an "as is" basis and we exclude all other warranties to the extent permitted by law. We are not liable for indirect or consequential loss, loss of profits, loss of revenue, loss of goodwill or loss of data, however arising.

Subject to the section above, our total aggregate liability arising out of or in connection with the platform is limited to the subscription fees paid by the merchant in the 12 months before the event giving rise to the claim.

16. Indemnity

To the extent permitted by law, merchants indemnify us against claims, losses and costs arising from their loyalty program, the rewards they offer, their communications with customers, their breach of these terms, or their breach of any applicable law. This indemnity does not apply to the extent the loss was caused by our own breach or negligence.

17. Changes to the service and to these terms

We may change, add to or remove features as the platform develops. We may also update these terms. The current version will always be available on this page with its "last updated" date, and material changes will be notified where reasonably practicable. Continued use after a change takes effect means you accept the updated terms.

18. Governing law

These terms are governed by the laws of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria and the courts able to hear appeals from them.
